Michigan Requires PEOs to Be Licensed, and It’s Not Optional

Professional Employer Organizations operating in Michigan are subject to a clear, mandatory regulatory framework. Under Public Act 370 of 2010, beginning September 1, 2012, a person may not provide, advertise, or otherwise hold itself out as providing professional employer services in Michigan unless licensed or exempt from licensure under the act.

That law, the Michigan Professional Employer Organization Regulatory Act, was established to license and regulate professional employer organizations, define the relationships and duties between PEOs and their clients, and provide for penalties and remedies when those standards aren’t met.

Critically, the licensing requirement applies based on what a company does, not what it calls itself. Michigan defines a PEO as any person engaged in the business of providing professional employer services, regardless of whatever other label or term a company uses. A firm marketing itself as an “HR outsourcing provider” or “workforce management company” may still be operating as a PEO under the law and subject to the same licensing requirements.

Licensing is administered through LARA’s Bureau of Corporations, Securities and Commercial Licensing (CSCL). The state maintains a publicly available list of all licensed PEOs, and any business can verify a PEO’s current license status at any time through the LARA MiCLEAR portal at michigan.gov.

The goal is to ensure that PEOs operating in Michigan have demonstrated financial responsibility, organizational integrity, and the capacity to meet their obligations to both client businesses and covered employees.

Licenses must be renewed annually (on August 31st each year), and there is no late renewal grace period. A lapsed license cannot simply be reinstated; a new application is required. This creates a meaningful ongoing accountability standard, not just a one-time hurdle cleared at startup.
